Unable to Creating SubVI

Hello,

Attached is a VI that I wish to creat into a subVI. When i go to Edit -> Create SubVI .... it is grayed out and disabled. 

Am I short of some steps or something?

You need to select something to create a subVI. So, just highlight using a mouse and then Create SubVI.

It sounds like you just want that VI as a subVI?  Then all you have to do is drop the icon onto another VI's block diagram.  You'll probably want to wire up some of the connectors too.
